Terms & Conditions
Last updated: · Applies to MTDA (“Machine Tool Drawing Automation”, internally “MTAP”), the desktop application, its licence server and this website, all operated by NTS — Niraja Techno Solution (“NTS”, “we”, “us”).
1. Acceptance
By registering for a trial, installing MTDA, activating a licence key, or using the application or this website, you agree to these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not install or use MTDA.
2. Licence grant
Subject to these Terms and to payment of the applicable fees, NTS grants you a non-exclusive, non-transferable, non-sublicensable licence to install and use MTDA for your internal business purposes, on the number of machines (seats) your licence covers, for the licence period.
A licence is bound to a machine by a one-way hardware fingerprint. Moving a seat to a new machine may require NTS to release the old activation. You may not share a key, exceed your seat count, resell or redistribute MTDA, or provide it as a service to third parties.
The licence permits online activation and periodic online re-verification. Drawing export requires a successful online check (see section 4). MTDA will not run if it has been offline beyond the grace period stated in the application.
3. Free trial
- Trials are granted at NTS's sole discretion after manual review of your registration. Registration does not guarantee a trial.
- One trial per company and per email address. Attempts to obtain multiple trials (new emails, new machines, etc.) may result in refusal of all trials and future licences.
- A trial runs for a limited period (stated in the approval email and shown in the application) and carries weekly and monthly export limits.
- Trials exclude 3D STEP export. All other drawing features are available.
- A trial does not auto-renew, converts to nothing automatically, and places you under no obligation to purchase. When it expires, generation stops until you activate a paid licence.
- NTS may end or shorten a trial at any time.
4. Usage limits & metering
MTDA is metered. Creating a drawing file (DXF) or a 3D model file (STEP) is a metered action. Each licence has a plan with weekly and monthly limits (or unlimited, if your plan says so). Limits reset on a fixed calendar schedule (week: Monday; month: the 1st) on NTS server time.
- Metering is enforced on the NTS server. Each export requires a signed grant from the server before it will proceed. There is no offline path that bypasses this.
- Viewing, editing inputs, and the 3D preview are not metered. The AutoCAD link and PDF preview are not metered unless your plan states otherwise.
- Paid licences are not blocked when a limit is reached. Exports beyond your plan's included volume are recorded as overage and billed at the overage rate on your plan or your agreed per-drawing price. Trials are blocked at their limit (no billing relationship exists).
- NTS may adjust plan limits and overage pricing with notice. Your current plan, remaining limits and any overage are visible in the application and in your account with NTS.
- Circumventing, tampering with, or automating around the metering system is a material breach and grounds for immediate termination without refund.
4a. Anti-tampering
Modifying, patching, decompiling, or otherwise interfering with MTDA's licensing, metering, hardware-fingerprint binding, or activation code, or running MTDA under a debugger, emulator or modified binary to bypass any of these, is a material breach. NTS may detect this automatically and, without prior notice, revoke the licence key involved and refuse reactivation, block the machine's hardware fingerprint from future activation, and pursue any other remedy available at law. No refund is due on a licence revoked for this reason.
5. Payment terms
- Fees, the billing period (e.g. annual), seat count and plan limits are as quoted by NTS and/or stated in your invoice or order.
- Prices are in the currency quoted or shown at checkout (INR, GBP, USD or EUR) and you are charged in that currency. They are exclusive of GST, VAT, sales tax and any other applicable taxes, which are added where we are required to charge them. Where tax is not charged by us, you are responsible for any tax due in your country. Currency prices are set by NTS and are not live exchange rates. Your bank or card issuer may add its own foreign-exchange charges.
- Invoices are payable within 15 days of the invoice date unless a different term is agreed in writing.
- Overage for the period is invoiced in arrears at the end of the billing period (or monthly), at the rate in effect when the drawing was created.
- NTS may suspend licence activation, re-verification and export (which stops new drawing generation) if an invoice is more than 14 days overdue, after email notice. Access is restored on payment.
- Fees and paid usage (including overage) are non-refundable except where required by law or expressly agreed in writing. A licence not used, or used less than expected, is not grounds for a refund.
- Renewal pricing and limits may change; NTS will give notice before a renewal at a new price. You may choose not to renew.
6. Drawing accuracy & your responsibility
Every model, drawing, dimension, tolerance, note and file MTDA produces is generated from the values you enter and from geometry rules that are approximations of published standards. Standards, house conventions, customer requirements and real-world manufacturing constraints change and are not fully captured by any software.
You are solely responsible for:
- checking every drawing MTDA produces — geometry, dimensions, tolerances, GD&T, annotations, title block and revision — against your own standards and the customer's requirements before it is issued, approved or used to manufacture anything;
- verifying that the input values are correct and complete;
- the correctness and legal effect of any drawing you send to a customer or to production;
- keeping your own records and backups of issued drawings.
Any reference in MTDA or its documentation to an engineering standard describes the intent of a geometry rule. It is not a certification of conformance. NTS does not warrant that any output conforms to any standard, is correct, or is fit for any purpose. NTS is not liable for any error in, or consequence of, a drawing you did not check.
7. Acceptable use
You will not, and will not permit others to: reverse engineer, decompile or disassemble MTDA except to the extent that right cannot be excluded by law; remove or alter licensing, security, or attribution mechanisms; use MTDA to build a competing product; share licence keys; exceed seat or usage limits; or use MTDA unlawfully.
8. Intellectual property
MTDA, the licence server, this website, and all related software, geometry rules, templates, documentation and branding (including “MTDA”, “Machine Tool Drawing Automation” and “NTS”) are and remain the property of NTS. These Terms grant a licence to use, not any transfer of ownership.
The drawings and models you generate from your own inputs are yours. NTS claims no ownership of your output or your input data. The block templates and title-block artwork embedded in the output remain NTS's, licensed to you for use in drawings you produce with MTDA.
9. Data & privacy
Use of MTDA and this website involves limited data collection (licence key, a hardware fingerprint hash, hostname/username, app version, crash reports, usage counts, and, for trial registration, the contact details you provide). What is collected and why is set out in the Privacy Policy, which forms part of these Terms.
10. Availability & support
The licence server and this website are provided on a commercially reasonable-efforts basis with no uptime guarantee. Because export requires an online check, a server outage can prevent new drawing generation; NTS will work to restore service promptly, and the offline grace period is intended to absorb short outages. Support is provided by email / the in-app ticket system at NTS's discretion; there is no contracted response time unless separately agreed.
11. Disclaimer of warranties
MTDA, the licence server and this website are provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. NTS does not warrant that MTDA will be error-free or uninterrupted, or that any output is correct, complete, standard-conformant or fit for manufacture. To the extent any warranty cannot be excluded by law, it is limited to the minimum permitted.
12. Limitation of liability
To the maximum extent permitted by law:
- NTS is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, data, goodwill, production, or for the cost of scrapped or reworked parts, or for any claim by your customer, arising out of or relating to MTDA or its output, even if advised of the possibility.
- NTS is not liable for any loss arising from a drawing that you did not check as required by section 6, or from incorrect input values.
- NTS's total aggregate liability for all claims relating to MTDA in any 12-month period is limited to the fees you actually paid to NTS for MTDA in that period (and is nil for a free trial).
Nothing in these Terms excludes liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud).
13. Indemnity
You will indemnify NTS against claims, losses and costs arising from your use of MTDA in breach of these Terms, from drawings you issue, or from your inputs, including any claim by your customer or by a third party relating to a drawing produced with MTDA.
14. Term & termination
These Terms apply for as long as you use MTDA or hold a licence. NTS may suspend or terminate your licence for non-payment, for breach (including exceeding seats/limits or tampering with metering, activation or security — see section 4a), or if required by law.
NTS may also suspend or terminate a trial licence, or discontinue MTDA or the licence server, at its own discretion at any time, with notice where reasonably practicable. For a paid licence, NTS will give reasonable notice before a discretionary termination not caused by your breach, and any unused pre-paid fees for the period after termination will be refunded pro-rata; a termination for breach, non-payment or tampering carries no refund.
You may stop using MTDA at any time; fees already due remain payable. On termination, your right to use MTDA ends and you must stop using and uninstall it. Sections 4a, 6, 8, 11, 12, 13 and 16 survive termination.
15. Changes to these terms
NTS may update these Terms, including the licence grant, usage limits, and this termination clause, at its discretion. The “last updated” date shows the current version. Material changes affecting paid licences will be notified by email before they take effect at your next renewal. Continued use of MTDA after an update means you accept the revised Terms; if you do not agree, stop using MTDA before the change takes effect.
15a. International customers
- MTDA is licensed to businesses and professionals for use in their trade. It is not offered to consumers.
- You are responsible for using MTDA in line with the laws that apply to you, including export-control and sanctions rules. We may refuse or end service where the law requires it.
- The English version of these Terms is the one that applies if a translation differs.
- Nothing in these Terms removes any right you have under mandatory law in your country.
16. Governing law
These Terms are governed by the laws of India. The courts at the location of NTS's registered office have exclusive jurisdiction, subject to any mandatory consumer-law rights in your country.
